We have adopted an Organization, Management and Control Model (Legislative Decree 231/2001 Model) designed to prevent offences committed in the interest of, or for the benefit of, the Company.
On 9 December 2019, we adopted our Organization, Management and Control Model (the “231 Model”) and established the related Supervisory Body. This framework serves as a key element of our ethical and compliance system, supporting the principles set out in the Code of Ethics and applying to members of the corporate bodies, management, employees, and all those who contribute to achieving the Company's objectives.
Geoside has adopted its own Organization, Management and Control Model, tailored to the specific characteristics of its business. The Model is based on the principles of the Italgas Group’s 231 Model and reflects the guidelines and implementation framework established by the Group, taking into account its organizational and operational structure.

The Whistleblowing Procedure applies to Italgas and its subsidiaries. To facilitate the submission of reports, dedicated reporting channels have been established and are detailed in the Procedure. These channels are managed and maintained by the Internal Audit function.
All reports are reviewed by the Reporting Committee, which comprises the Director of Human Resources & Organization, the Director of Legal Affairs, Corporate Affairs & Compliance, and the Head of Internal Audit. The Committee ensures the independence, confidentiality, and expertise required to manage reports effectively. Following its assessment, each report is classified according to its subject matter, including internal control system issues, corporate reporting matters, corporate administrative liability, fraud, corruption-related conduct, or other areas such as violations of the Code of Ethics, workplace harassment or bullying, theft, security incidents, and similar matters.
The Internal Audit function is responsible for promptly informing the senior management of the relevant company and for submitting reports within its remit to the Company’s Supervisory Body for assessment and any actions deemed necessary.
All Italgas business units and subsidiaries involved in the receipt and handling of reports are required to ensure the utmost confidentiality and protection of whistleblowers' identities. Appropriate communication procedures and safeguards are implemented to protect both the reputation of individuals mentioned in a report and the anonymity of those submitting it, ensuring that whistleblowers are protected from any form of retaliation.
